HEALTH & SAFETY POLICY STATEMENT

The ongoing success of the Company is founded on excellence in Health and Safety performance. This is achieved through a policy of continual, cost effective improvement across all facets of the Business.

With commitment, support, participation and an effective management system, we strive to ensure the good health and wellbeing of our workers and keep members of the public safe.

Our policy is to provide a positive health and safety culture where no one is harmed, we do not damage property and where we maintain the reputation we have for achieving the highest standards in Health and Safety practice through successful management, implementation, engagement and communication.

In support of this all employees are required to fulfil their legal duty to take reasonable care of themselves and other people who may be affected by their actions, and to fully support the Company in the management of Health, Safety and Welfare as a whole.

To achieve these objectives our Leadership Team are committed to providing a framework that ensures:

• Safe and healthy working conditions for the prevention of work-related injury or ill health across all our business operations.

• Compliance to all relevant Health and Safety Legislation and other requirements.

• Maintenance and development of our ISO 45001 Health and Safety Management, so that it remains effective in eliminating hazards and reducing risks, measured by performance monitoring and involvement of the workers to identify improvement opportunities to prevent incidents.

• Provision of adequate resources, such as competent responsible workers and suitably maintained equipment, with the support of Health and Safety advisors and Occupational Health resources that ensure the governance of, and compliance to, company standards.

• Effective risk assessment, management, and control mechanisms, communicated to all relevant parties, including robust incident investigation and root cause identification.

• Involvement of workers, their representatives, our suppliers, clients, and other interested parties, to identify needs and requirements, ensure adequate planning, responsibilities and authorities, legal obligations, objectives, resource requirements, best practices, and improvement options.

• A positive culture for employees, increasing their awareness and promoting their ownership of Health and Safety through communication, active participation, and the provision of suitable and adequate training.

• The involvement and engagement of employees and other sources of best practice to identify opportunities for improving the health and safety of workers and others impacted by our operations.

• The Management of Occupational Health and Safety is monitored, measured continually and frequently reviewed by the Leadership Team to ensure it performs effectively and within the framework required to set performance targets that align with the Company’s wider objectives.

Our policy is communicated to, and extends to, all persons working for or on behalf of the Company and is readily available via our website, company intranet and to other interested parties on request.

ENVIRONMENTAL & SUSTAINABILITY POLICY STATEMENT

The Company recognises that our operations influence the local, regional and global environment, and that effective environmental management is critical to being a sustainable, successful business.

Key targets have been established for continual improvement in environmental practice and performance. The Company believes that our duty goes beyond minimising harm to the environment, to providing environmental enhancement and sustainable solutions in collaboration with our customers. This incorporates social sustainability and adding value to the communities in which we work.

To realise policy objectives, the Company is committed to:

• Promoting a culture of environmental responsibility and awareness, through effective leadership, communication and training.

• The provision of adequate resources, including management representatives, to fulfil the Company’s commitments.

• Implementing policy through an effective Environmental Management System that meets the requirements of BS EN ISO 14001:2015, and a greenhouse gas emissions baseline footprint verified to ISO 14064:2019 Part 3 (verification and validation of greenhouse gas statements).

• Complying with all relevant Environmental Legislation as a minimum.

• Investigating all incidents to identify root causes and prevent recurrence.

• Conducting regular reviews to monitor performance and ensure continual improvement of the Environmental Management System.

• Considering, planning and implementing control measures to protect the environment and minimise environmental impacts associated with Company operations. This includes pollution prevention, waste hierarchy principles and reducing fuel, energy and water usage.

• Being a good neighbour and considering the needs of all interested parties.

• Delivering on our published Carbon Reduction Plan, which demonstrates our commitments to achieving Operational Net Zero by 2040 and Organisational Net Zero by 2050. We are dedicated to reducing the greenhouse gas emissions resulting from our activities through our net zero action plan.

• Fostering new ideas and encouraging innovation, internally and with business partners, that can create financial savings and benefit our clients, society and environment.

• Delivering sustainable profitable growth, incorporating sustainability principles company-wide whilst meeting our ethical, legal and contractual obligations.

ETHICAL BUSINESS POLICY STATEMENT

The Company is committed to the highest standards of ethical conduct and integrity in its business activities in the UK and overseas. Every employee and individual acting on the Company’s behalf is responsible for maintaining the Company’s reputation and for conducting company business honestly and professionally.

This policy outlines the Company’s position on prohibiting and preventing bribery, fraud, dishonesty, and illegal activity. The Board of Directors and Senior Management take a zero-tolerance approach and are committed to enforcing effective systems throughout the company to prevent, monitor and eliminate any form of dishonesty and consider that such activities have a detrimental impact on business by undermining good governance and distorting free markets.

This policy applies to all employees of the Company, and to temporary workers, consultants, contractors, acting for, or on behalf of, the Company within the UK and overseas. Every employee and associated person acting for, or on behalf of, the Company is responsible for maintaining the highest standards of business conduct. Any breach of this policy will be treated as grounds for serious disciplinary action, and / or constitute a contractual and criminal matter for the individual concerned. The Company is committed to transparency and believes that fair conduct helps to foster deep relationships of trust between the Company and our business partners and customers and as such a breach of this policy may also cause serious damage to the reputation and standing of the Company.

In compliance with statutory legislations and to embed commitment to integrity and honesty the Company will not sanction the following: –

• Give or offer any payment, gift, hospitality, or other benefit in the expectation that a business advantage will be received, or to reward any business received.

• Accept any offer from a third party that is known or suspected to be made with the expectation that the Company will provide a business advantage for their business or anyone else.

• Give or offer any payment to a Government official in any country to facilitate or speed up a routine or necessary procedure.

• Tangible assets and intangible assets such as computer systems, bespoke processes, software, intellectual property, trade secrets and confidential information shall not be used for unauthorised or unlawful purposes or for personal gain.

• Engage in any business practice which is unethical or amounts to unfair competition.

• Unlawfully or inadvertently acquire, use or disclose to any third party any proprietary information or intellectual property of another party.

• Engage in any activity or business practice whether unilaterally or in conjunction with any other party which is in breach of any applicable competition and/or anti-trust law in the relevant jurisdiction.

• Unlawfully induce any party to breach a contract with any third party.

• Make false statements about a competitor’s products and/or services.

• Engage in business with service providers, agents or representatives that do not support our ethical business objectives.

The success of the Company’s measures depends on all employees, and those acting for the Company, playing their part in helping to detect and eradicate dishonesty. Therefore, all employees and others acting for, or on behalf of, the Company are encouraged to report any suspected dishonesty in accordance with the procedures. The Company will support any individuals who make such a report, if it is made in good faith.

To realise this policy objective, Directors and senior management are committed to:

SUSTAINABLE PROCUREMENT POLICY STATEMENT

The Company is committed to responsible procurement and working with our supply chain to support the objectives set out in this policy. We understand the benefits of ethical and responsible procurement on the sustainability of our business and will take continual positive steps to improve our performance, in collaboration with our supply chain. Our focus is on:

• Working with a supply chain that procures to the same auditable standards as ourselves, whilst complying with UK and international legislation.

• Ensuring our supply chain completes our internal accreditation/approval processes.

• Collaboration with our supply chain to deliver solutions that meet our expectations on social, economic, safety, quality, climate change impact, value and risk management and seek ongoing improvement.

• Procuring energy efficient products and services that positively impact energy performance and reduce greenhouse gas emissions.

• Procuring responsibly and ethically sourced materials that complies with legal requirements and supports principles of other sustainable schemes.

MODERN SLAVERY STATEMENT

Introduction

This statement sets out the Company actions to understand all potential modern slavery risks related to its business and to put in place steps that are aimed at ensuring that there is no slavery or human trafficking in its own business and its supply chains.

As part of the engineering sectors, we recognise that we have a responsibility to take a robust approach to slavery and human trafficking and we continue to take our responsibility very seriously during the coronavirus pandemic.

The Board of Directors is absolutely committed to preventing slavery and human trafficking in its corporate activities, and to ensuring that its supply chains are free from slavery and human trafficking.

Organisational Scope

This statement covers all activities of the Company, a family-owned business that operates within the Construction and Engineering Industry. Its main business activities include civil, mechanical, process engineering and MEICA engineering, including full EPC services for private and public sector clients.

Key sectors include process & water, energy, oil & gas and nuclear. The Company applies total engineering throughout the project lifecycle from design development through to commissioning and handover.

Countries of operation and supply

The Company currently operates in the following countries:

• England, Scotland and Wales
In order to undertake its operations, the Company works with a range of suppliers including subcontractors, suppliers of materials and recruitment agencies.

The Company expectations and standards are communicated throughout the supply chain to set the standard of operation. It is the Company’s ethos to build strong relationships with the supply chain to understand their policies and compliance to assess any potential risks. The Company’s supplier approval process incorporates a review of controls undertaken by the supplier to assess compliance.

Responsibility for our anti-slavery initiatives is as follows:

Policies: The HR Department will plan and review policies in conjunction with the SHEQ & Systems Departments. Key Stakeholders have been involved in the development of policies including the Procurement Director, the Finance Director and the commitment from the Managing Director and Board of Directors. The Quality department ensures governance and compliance.

Risk Assessments: The Company has formulated a modern slavery implementation plan which is reviewed with the Finance Director and Procurement Director and key stakeholders. The Procurement Director in liaison with the Finance Director have undertaken risk analysis on the supply chain, categorising suppliers as high / medium or low risk and implemented necessary action planning. All new suppliers to the Company must undergo a compliance exercise through our supplier questionnaire prior to any engagement.

Investigations and Due diligence: An audit process through our supply chain will be undertaken by Company auditors in order to ensure compliance with the Company and legislative values and standards. Any supplier or site or department who does not comply will be issued with non-conformances and be expected to rectify. The Company will provide guidance, help and support to ensure compliance.

Training: The Company has undertaken toolbox talks and issued publication material to be displayed on notice boards to raise awareness of modern slavery. It is the responsibility of all site management to ensure that staff have awareness. The Company will be rolling out a Modern Slavery e-learning package to staff and suppliers.

Policies

As part of the Company’s commitment to addressing and opposing modern slavery there is a range of policies to identify modern slavery risks and steps to be taken to prevent slavery and human trafficking in its operations.

• No Blame and Whistleblowing Policy: The Company encourages all its workers, customers and other business partners to report any concerns related to the direct activities, or those of its supply chain. This includes any circumstances that may give rise to an enhanced risk of slavery or human trafficking.

• Employee code of conduct: The application of this policy provides clarity for employees regarding the behaviours that are expected of them and the actions that need to be taken when representing the Company. The Company expects employees to act with ethical understanding when interacting with the supply chain and operating overseas.

• Supplier/Procurement code of conduct: The Company is committed to working with suppliers to ensure the Company’s standards are mirrored throughout the supply chain. Suppliers are required to provide evidence that they act ethically, provide a safe working environment.

• Recruitment/Agency Workers Policy: The Company uses only agencies that are on the preferred supplier list to source labour and always confirms the working practices of any new agency it intends to use before accepting workers from that agency.

• Ethical Business Policy: The Company is committed to maintaining the highest standards of ethics and integrity and to conducting its business legally, honestly and fairly and requires all its employees to carry out their duties in accordance with these principles.

Our suppliers are made aware of the Policies and are required to adhere to the same standards.

Due Diligence

As part of the Company’s due diligence processes our supplier approval process is being developed to incorporate the following:

• Undertaking risk analysis on the supply chain to assess product or geographical risks of modern slavery and human trafficking.

• Assessing each new supplier for risk in accordance with this statement.

• Conducting supplier audits and assessments to ensure compliance with the Company’s commitment to prevent modern slavery and human trafficking.

• Taking steps to improve substandard suppliers’ practices, including providing advice to suppliers and requiring them to report on how they intend to address the practices.

• Participating in collaborative initiatives focused on human rights in general, and slavery and human trafficking in particular, such as participation in “Stronger together” initiatives.

The procedures the Company is adopting have been designed to:

• Understand where there could be risk in the Company and the supply chain.

• Assess and review any risk in the Company and supply chain.

• Mitigate the risk of slavery and human trafficking.

• Give employees an avenue to raise concerns without the fear of reprisal.

Risk and Compliance

As part of the Construction and Engineering sector, the Company recognises that it has a responsibility to take a robust approach to slavery and human trafficking as the industry has historically been found to be a highly targeted industry.

The Company assesses whether or not particular activities or countries are a high risk in relation to slavery or human trafficking by researching and assessing:

• The country in which the business operates specifically in countries where human rights are limited.

• In geographical regions in which the business operates where labour practices can be poor for migrant workers.

• On the supplier partnership risks.

High-risk activities

The following aspects are considered to be at high risk of slavery or human trafficking:

It is known that the construction industry and construction sites have been historically targeted by the trafficking regime and is considered to be of high risk to the Company operating within the said industry. The Company is committed to mitigating this risk through stringent identification checks of all staff directly employed by the Company, security clearance processes and complying with our contractual obligations for staff.

The Company also expects all recruitment agencies to follow Company policies and the Company only uses approved reputable recruitment agencies. To ensure the potential for slavery and human trafficking is reduced as far as possible, the Company thoroughly check recruitment agencies before adding them to our list of approved agencies.

The Company also engages the services of subcontract labour both within the UK and internationally which is considered as high risk. The Company ensures that the supplier approval process is followed, and the Company applies its stringent subcontract assessment processes in compliance with pas91.

The Company has identified that supply of goods sourced from outside of the UK pose a high risk. To mitigate this the Company will check supply chains to ensure the potential for slavery and human trafficking is significantly reduced. The Company informs suppliers that we intend to engage with, that the Company is not prepared to accept any form of exploitation.

Performance indicators

The Company will instigate the following measures to monitor performance:

• requiring all staff to have completed training on modern slavery.

• Developing the system for supply chain verification whereby the company evaluates potential suppliers before they enter the supply chain.

• reviewing its existing supply chains, whereby the Company will evaluate all existing suppliers.

Training

The Company is committed to educating staff to recognise modern slavery and human trafficking in the Company and supply chains. The training programs will raise awareness, help to identify risk and encourage employees to report any breaches of this statement.

The Company’s modern slavery training will cover:

• how to assess the risk of slavery and human trafficking in relation to various aspects of the business, including resources and support available;

• how to identify the signs of slavery and human trafficking;

• what initial steps should be taken if slavery or human trafficking is suspected;

• how to escalate potential slavery or human trafficking issues to the relevant parties within the Company;

• The Company’s purchasing processes in relation to the supply chain conditions.

• What external help is available through initiatives such as ‘stronger together’.

Awareness-raising Programme

As well as training staff, we have raised awareness of modern slavery issues by distributing flyers to staff/putting up posters across our premises.

The flyers/posters explain to staff:

• how employers can identify and prevent slavery and human trafficking;

• what employees can do to flag up potential slavery or human trafficking issues to the relevant parties within our Company;
